Applicability, definitions and agreements
These terms and conditions apply to all offers and agreements of Tekwoods Software B.V. (hereinafter Tekwoods). Provisions which deviate from these general terms only form part of agreements entered into between the parties. The other party cannot rely on the fact that the general terms have not been handed over if Tekwoods has already handed over the same terms to the other party and/or referred to them. Additions or changes to the general terms or otherwise changes or additions to the agreement become binding only after written confirmation by Tekwoods. No deviation from these general terms can be made verbally.

Offers, quotations and rates
All Tekwoods’ offers, quotations and price lists are without obligation unless they include a deadline for acceptance. Tekwoods reserves the right to apply an annual inflation adjustment (calculated by CBS) to all its rates.

Information and examples
Examples shown and/or provided as well as information or descriptions in brochures and/or on Tekwoods’ website are as accurate as possible, but are for indication purposes only. No rights can be derived from them.

Payment
Payment must be made within 14 days of the invoice date, unless the parties have expressly agreed otherwise in writing. In case of late payment and/or (suspected) abuse, Tekwoods reserves the right to discontinue or terminate the user license(s) without notice.

Intellectual Property Rights
The source code, the intellectual property right of the software delivered, is vested in Tekwoods. The rights of sale belong exclusively to Tekwoods, the customer is not permitted to make the delivered software or copies thereof or additions thereto or use thereof for any purpose or for any reason whatsoever available to third parties under any title whatsoever without Tekwoods’ written consent. New developments offered as options with the software are not covered by any agreements entered into.

Term and Termination
An agreement runs (unless otherwise agreed) quarterly, is renewed for one quarter at a time, invoiced in advance per quarter and paid by customer. Termination of an agreement (unless otherwise agreed) one month before the end of the quarter. Amounts already paid will not be refunded.

Force majeure
In case of force majeure, Tekwoods has the right to dissolve an agreement or suspend its obligations to the other party for a reasonable period of time without being liable to pay any damages. For the purpose of these general terms, force majeure means any non-attributable failure on the part of Tekwoods, any third party or supplier engaged by it, or any other serious reason on the part of Tekwoods. Force majeure includes, but is not limited to, war, riots, mobilization, domestic and foreign disturbances, government measures, business interruptions due to fire, natural phenomena, weather conditions, death, accidents and other events.

Data files for woodworking machines
The rights for generating data files with the (optional) software belong exclusively to Tekwoods, the customer is not allowed to convert drawings for third parties unless it is own drawing work and/or is intended for own production. The (optional) software supports a limited number of cuts, notches and operations. Certain combinations of notches and operations are not supported. Tekwoods recommends that data files with saw shapes, notches and operations always be tested on the woodworking machine beforehand.

Responsibility/Liability
The use of the software is the responsibility of the customer, the customer cannot hold Tekwoods liable for its own damages, in particular also for business or other consequential damages, arising out of or in connection with the use or inability to use the system and indemnifies Tekwoods in respect of all claims of third parties for such damages.

Applicable law/competent court
The agreement entered into between Tekwoods and the other party is governed exclusively by Dutch law. Any disputes arising from this agreement will also be settled under Dutch law.
